Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and [LEGAL ENTITY NAME] ("SociallyBid", "we", "us", "our"), which operates the SociallyBid marketplace, websites, and related services (collectively, the "Platform"). By creating an account, clicking to accept these Terms, or using the Platform, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, our Payments & Escrow Terms, and our Advertising, Endorsement & SEO Disclosures, each of which is incorporated by reference. If you do not agree, do not use the Platform.
1. Who we are and what the Platform is
SociallyBid is an online marketplace and venue that helps businesses and brands ("Businesses") and content creators, influencers, and publishers ("Creators") find each other, negotiate collaborations, and transact through a structured deal and escrow flow.
We are a neutral intermediary. SociallyBid is not a party to any agreement, collaboration, campaign, endorsement, content placement, or transaction between Users (each, a "Deal"). We do not act as an agent, employer, joint venturer, partner, broker, talent agency, advertising agency, or fiduciary of any User. We do not create, produce, review for quality, endorse, or guarantee any User, content, offer, or Deal, and we do not guarantee any result, reach, engagement, ranking, revenue, or return on investment.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
- You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately of any unauthorized use.
- Access to certain features may require identity verification and/or completion of third-party onboarding (for example, Stripe payout onboarding). We may approve, decline, suspend, or revoke verification and access at our discretion.
3. Relationship between Users; Deals are your responsibility
- Users are independent parties. Any Deal is a direct agreement between the Users involved, on whatever terms they set. You are solely responsible for evaluating counterparties, negotiating terms, performing your obligations, and complying with all laws applicable to your Deal.
- We are not responsible for, and disclaim all liability arising from, the acts, omissions, content, conduct, performance, non-performance, quality, timing, legality, or tax treatment of any User or Deal.
- You are responsible for determining and paying any taxes arising from your use of the Platform or any Deal. Creators and Businesses are independent contractors with respect to one another and with respect to SociallyBid; nothing here creates an employment or agency relationship.
4. Fees, payments, and escrow
Funding, platform fees, escrow, payouts, refunds, and disputes are governed by our Payments & Escrow Terms. In summary, and without limiting that document: payment processing and the custody of funds are handled by our third-party payment processor (Stripe); SociallyBid does not take custody of, hold, or control User funds and is not a bank, money transmitter, or escrow agent. You authorize the fees and charges described in the Payments & Escrow Terms.
5. User content and license
"User Content" means anything you submit, upload, publish, or transmit through the Platform, including profiles, postings, offers, messages, media, deliverables, links, and proof of work.
- You retain ownership of your User Content. You grant SociallyBid a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and transmit your User Content solely as needed to operate, provide, secure, and improve the Platform and to make it available to the counterparties and service providers reasonably required to deliver the service.
- You represent and warrant that you own or have all rights necessary to submit your User Content and to grant this license, and that your User Content and its use do not violate any law or third-party right.
- We may, but are not obligated to, monitor, remove, or restrict User Content that we believe violates these Terms, the Acceptable Use Policy, or applicable law.
6. AI-assisted features
Parts of the Platform, and the related A1Ai desktop workspace, use artificial intelligence to help generate drafts, suggestions, matches, articles, and other outputs ("AI Output").
- AI Output may be inaccurate, incomplete, biased, or unsuitable. It is provided as a starting point only. You are solely responsible for reviewing, editing, fact-checking, and approving any AI Output before you use, publish, or rely on it, and for ensuring it complies with all applicable laws, platform policies, and third-party rights (including the disclosure duties in our Advertising, Endorsement & SEO Disclosures).
- We make no warranty that AI Output is original, non-infringing, or fit for any purpose, and we are not liable for any use you make of it.
7. Third-party services
The Platform integrates with third-party services (for example, Stripe for payments and payouts, email delivery providers, social media platforms, and content management systems such as WordPress). Your use of those services is governed by their own terms and policies. We are not responsible for third-party services, and their availability or behavior is outside our control.
8. Prohibited conduct
You must comply with the Acceptable Use Policy. Among other things, you may not use the Platform to engage in fraud, fake or purchased engagement, deceptive endorsements, illegal content, harassment, infringement, circumvention of our fees or escrow, or any activity that violates applicable law or a third-party platform’s rules.
9. Intellectual property
The Platform, including its software, design, text, graphics, logos, and trademarks (excluding User Content), is owned by SociallyBid or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, reverse engineer, scrape, or create derivative works except as expressly permitted.
10. Disclaimers of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEAL, RESULT, RANKING, REACH, OR OUTCOME WILL BE ACHIEVED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SOCIALLYBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY DEAL, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO SOCIALLYBID IN THE [SIX (6)] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) [USD $100].
- SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You will indemnify, defend, and hold harmless SociallyBid and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) any Deal you enter; (d) your violation of these Terms or any law or third-party right; and (e) your endorsement, advertising, or SEO/link-placement activities, including any failure to make required disclosures.
13. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or applicable law, created risk or legal exposure for us or other Users, or for any other reason at our discretion. You may stop using the Platform at any time. Sections that by their nature should survive termination (including Sections 4–14) will survive.
14. Dispute resolution; governing law

- Informal resolution first. Before filing any claim, you agree to contact us at [LEGAL/SUPPORT EMAIL] and attempt to resolve the dispute informally for at least 30 days.
- [Binding arbitration.] Except for small-claims matters and requests for injunctive relief, any dispute will be resolved by [binding individual arbitration administered by [ARBITRATION BODY] under its rules], seated in [VENUE].
- [Class-action waiver.] To the extent permitted by law, disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new effective date or by email). Your continued use after the changes take effect constitutes acceptance.
16. Miscellaneous
- Entire agreement. These Terms and the documents incorporated by reference are the entire agreement between you and SociallyBid regarding the Platform.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices by email or by posting on the Platform.
